We act as legal advisors to foreign companies and Turkish branches of international companies as well as to some important local groups of companies, and provide advice and represent them before the Courts in matters relating to:
- Cross-border transactions, joint-ventures, mergers and acquisitions concerning already existing companies and/or companies to be newly incorporated, carrying out legal due diligence, drafting of share purchase agreements, shareholders agreements, asset transfer agreements and other related contracts;
- Formation and liquidation of foreign capital companies, branch offices and liaison offices, pursuing formalities before Ministries and Administrative Authorities at all levels for the incorporation, as well as the operation and/or liquidation of such companies, including steps before the trade registries, tax and other local authorities;
- Obtaining work and residence permits for foreign personnel;
- Assisting Turkish clients in their business endeavors and international transactions outside Turkey;
- Handling all legal aspects of the corporate structure of the companies, amendment of articles of association, board meetings, general assemblies as well as the day to day business issues, drafting of all types of contracts with 3rd parties including franchise agreements, development agreements, distribution agreements, agency agreements, loan agreements, licensing agreements, bank letters of guarantee, employment agreements;
- Purchase and/or sale of real estate on behalf of companies; drafting, registration and enforcement of liens, and mortgages on real estates;
- Obtaining all required special municipal permissions in respect of some branches of the retail and distribution business;
- Obtaining from administritive authorities various types of permits, licenses and certificates required for the business activities of our clients, and dealing with all kinds of legal and administrative problems faced by our clients;
- Sale, purchase and leasing transactions involving vessels, yachts and aircraft;
- Protection of intellectual property rights of companies;
- Employment issues;
- Commercial Litigation in all types of disputes;
- Rendering consultancy services to foreign and domestic clients on the Turkish Corporate and Commercial Law and practice as well as Real Property, Government Tenders, Public Offerings, Competition Law and investment options within and otside Turkey;
